I hereby agree to pay all normal and customary preparation charges in full to USADWEB, LLC and/or affiliates for the services which I have ordered.

All price quotations are handled from our main office at USADWEB, LLC. Invoices are due and payable upon receipt. There is a late charge of 1.5% per month added to invoices not paid within 30 days of original invoice date. If it is necessary for us to institute action to recover any amounts due, a reasonable charge for attorney's fees, collection, and court costs will be added. If deemed necessary, payment may be due upon delivery.

VENUE/JURISDICTION: Purchaser/Guarantor, and USADWEB, LLC, by acceptance of this Ad Placement Agreement, agree that all actions or proceedings arising in connection with this Ad Placement Agreement or any of the other documents or any dealings between them relating to the subject matter of this transaction or the relationship that is being established shall be tried and litigated only in the state courts located in Baltimore County, State of Maryland. Purchaser/Guarantor waive, to the extent permitted under applicable law, any right Purchases/Guarantor may have to assert that any such action or proceedings was brought in an inconvenient court or to object to venue to the extent any proceeding is brought in accordance with this paragraph.
